Athens, Greece – 2 December 2010 – Coca‑Cola Hellenic Bottling Company S.A. (Coca‑Cola Hellenic) has been informed by its shareholder Kar-Tess Holding of an intended restructuring of its shareholding in Coca‑Cola Hellenic.
As a result of this restructuring, shares representing 6.1% of Coca‑Cola Hellenic’s share capital will ultimately be transferred from Kar-Tess Holding to individuals or entities, who are either current shareholders of Kar-Tess Holding or the nominees of such shareholders. None of these shareholders will individually own more than 2% of Coca‑Cola Hellenic. Following completion of this restructuring, Kar-Tess Holding’s shareholding in Coca‑Cola Hellenic will decrease from 29.4% to 23.3%. The Coca‑Cola Company currently holds 23.1% of Coca‑Cola Hellenic’s share capital.
Under a shareholders agreement dated December 29, 2008, Kar-Tess Holding and The Coca‑Cola Company have agreed to maintain a combined shareholding in Coca‑Cola Hellenic of not less than 44% until December 31, 2013 and not less than 40% until December 31, 2018.
